Project Glidepath Windows Vista Spotlight Submission Agreement & Zune Incentive
Rules
You must read and agree with the submission agreement below to submit your application
for listing on the Project Glidepath Windows Vista Spotlight. At the bottom of the
agreement is an "I Agree" link which will take you to the information submission
form.
The “rules for submission” are as follows:
Requirements for submission to the Project Glidepath Windows(r) Vista Spotlight
1. Be a MicroISV (< 10 employees, no VC funding)
2. Download and install Project Glidepath on a developer workstation
3. Do not opt-out of the Customer Experience Program. CEP data will be reviewed
to validate your submission.
4. At minimum, create a solution and open the MicroISV Software Factory and review
all the content under the Windows Vista viewpoint.
5. Modify, enhance, upgrade an existing application or create a new application
that you believe will pass the review process shown below (a) on Windows Vista or
(b) one which incorporates some aspect of .NET 3.0 (WPF/WCF/WF/CardSpace) and runs
on Windows Vista, Windows XP SP2 and Windows Server 2003.
6. Submit a full set of information regarding your company and product on the Project
Glidepath website regarding your application including information on where a trial
version can be downloaded.
Once you have completed these 6 steps, the Microsoft Project Glidepath team will
download the trial version of your application and perform a series of compatibility
and functionality tests in a Virtual PC running the RTM version of Windows Vista
Ultimate edition to validate the functioning of your application. If your application
passes these tests your application will be featured in the Project Glidepath Windows
Vista Spotlight and Microsoft will promote your successful submission by blogging
and optionally other channels. All applications that pass the compatibility and
functionality tests will be listed in the Spotlight. If your application does not
pass the tests, Microsoft will send you information regarding why it failed.
If you are one of the first 30 MicroISV products to successfully submit and pass
the review process, you will receive* a Zune digital media player.
* Offer good only to the first 30 Microsoft ISV software companies who submit an
application for the Project Glidepath Windows Vista Spotlight that meets the rules
for submission (see above) and are validated to perform correctly on Windows Vista,
as solely determined by Microsoft's Project Glidepath Team. Limit one Zune digital
media player per company. This offer is non-transferable. This offer expires on
May 1, 2007, or while supplies last, and is not redeemable for cash. Taxes, if any,
are the sole responsibility of the recipient. Any Zune returned as non-deliverable
will not be re-sent. Please allow 6 - 8 weeks for shipment of your Zune.
"Submission" Agreement
This Submission Agreement (“Submission Agreement”) is an addendum to, and supplements
the, Terms of Use of the Project Glidepath Web Site (“Project Glidepath”). This
Submission Agreement and the Terms of Use provide the terms and conditions that
will govern your relationship with Microsoft regarding your electronic application
(“Application Form”) to enroll your software (“Product”) in the Project Glidepath
compatibility testing program (“Program”).
For each Product version that you desire to enroll into the Program, you will complete
and submit an Application Form on Project Glidepath, and include sufficient instructions
on where Microsoft can download your Product for compatibility testing. This Submission
Agreement, and the license grant herein, supersedes any other end user license terms
that Microsoft may be required to click-through or otherwise accept upon installation
or use of the Product.
By submitting the Application Form on Project Glidepath, you hereby grant to Microsoft
all the rights necessary, in its sole discretion, to (a) perform compatibility tests
on your Product in accordance with testing procedures established by Microsoft from
time to time, and (b) to publish your name and the “pass” test results on Project
Glidepath. Microsoft will not post “fail” test results on Project Glidepath.
Microsoft may decide in its sole discretion whether to perform any compatibility
testing on your Product, or to post or otherwise maintain a posting of any results
from such tests on Project Glidepath. Microsoft may remove any posting it makes
from Project Glidepath at any time. No compensation will be paid with respect to
the testing of your Product, or any posting Microsoft may make in connection with
your Product, as provided herein.
You may not make any claims, representations, warranties or otherwise use any special
designation about the compatibility of your Product with Microsoft software based
on this Program, provided that if Microsoft posts “pass” test results on Project
Glidepath, you may provide a link to such Microsoft web page and state your participation
in the Program.
You hereby represent and warrant to Microsoft that: (a) the Product has been originally
created by you, or you have cleared all rights to your Product necessary to participate
in the Program as described in this Submission Agreement; (b) you have the full
and exclusive right and power to enter into and perform according to the terms of
this Submission Agreement; and (c) no Product infringes or misappropriates any copyright,
patent, trade secret, trademark, or other proprietary right held by any third party.
You will indemnify, defend and hold Microsoft and its affiliates harmless from any
and all claims, demands, costs, liabilities, losses, expenses and damages (including
attorneys’ fees) arising out of or in connection with any claim brought by a third
party arising out of your Application Form, Product or otherwise participating in
the Program.
Microsoft does not make any express warranties under this Submission Agreement.
To the maximum extent permitted under applicable laws, Microsoft excludes all implied
warranties, such as implied warranties of merchantability, non-infringement and
fitness for a particular purpose. Project Glidepath, the compatibility tests, and
all test results (including but not limited to any technical advice or guidance
provided by Microsoft hereunder) are provided “AS IS” and “WITH ALL FAULTS”.
IN NO EVENT SHALL EITHER PARTY, OR ITS DIRECTORS, OFFICERS, AFFILIATES, LICENSORS
OR SUPPLIERS, BE LIABLE FOR ANY CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION,
DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION,
OR OTHER PECUNIARY LOSS), OR ANY INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES
ARISING OUT OF OR IN ANY WAY RELATED TO THIS Submission AGREEMENT, EVEN IF SUCH
PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In any event, the entire
liability of Microsoft arising out of or related to this agreement will be limited
to Five U.S. Dollars ($5.00).
This Submission Agreement shall be governed by the laws of the State of Washington.
In any dispute to enforce this Submission Agreement, each party agrees to exclusive
jurisdiction and venue in the state and federal courts located in King County, Washington.
In such a dispute, this prevailing party shall be entitled to recover its attorneys’
fees and costs.
